By creating an account or using TaxPally, you represent that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding contract
• You have read and understood our Legal Disclaimer
• You agree to comply with all applicable Nigerian laws and regulations

TaxPally is a productivity and management tool that provides:

• Digital record-keeping for income and expenses
• Document storage and organization
• Financial transaction tracking
• Report generation for personal records
• Tax calculation estimates for informational purposes
• Template generation tools for your personal records

3.1 Accuracy of Information

You warrant that:

• All information you provide is accurate, current, and complete
• All documents uploaded are genuine and lawfully obtained
• You will update information promptly when it changes
• You will not submit false, misleading, or fraudulent data

3.2 Tax Compliance

You acknowledge and agree that:

• You are solely responsible for filing your tax returns
• You must verify all calculations with a licensed professional
• You are responsible for meeting all tax deadlines
• You must pay correct tax amounts as determined by NRS/SIRS
• You will consult qualified professionals before making tax decisions

3.3 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access
• You are liable for all activities under your account
• You must not share your account with others

You agree NOT to:

• Use the Service for any illegal purpose
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service to harass, abuse, or harm others
• Violate any Nigerian laws or regulations
• Impersonate another person or entity
• Scrape, copy, or reproduce our content without permission
• Use automated systems to access the Service without authorization
• Submit false or fraudulent tax information

5.1 Data Processing

We process your data in accordance with the Nigeria Data Protection Act (NDPA) 2023 and GAID 2025 directives.

5.2 Lawful Basis

We process your data based on:

• Consent: You explicitly consent to data processing
• Contractual Necessity: Processing is necessary to provide our services

5.3 Data Security

• Secure cloud storage infrastructure

5.4 Your Rights

Under the NDPA, you have the right to:

• Correct inaccurate data

• Export your data in machine-readable format
• Withdraw consent at any time

All content, features, and functionality of TaxPally (including but not limited to text, graphics, logos, software, templates) are owned by us and protected by Nigerian and international copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our content without permission
• Reverse engineer or attempt to extract source code
• Remove copyright or proprietary notices
• Use our trademarks without written consent

• TaxPally is provided "AS IS" without warranties of any kind
• We do not guarantee accuracy, reliability, or completeness of information
• We are not liable for tax penalties, fines, or interest charges
• We are not liable for missed deadlines or incorrect filings
• We are not liable for any financial losses arising from use of the Service
• Total liability shall not exceed the amount you paid us in the last 12 months

You agree to indemnify, defend, and hold harmless TaxPally, its owners, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any Nigerian laws or regulations
• False or inaccurate information you provide
• Your tax non-compliance

We may suspend or terminate your account at any time, without notice, for:

• Violation of these Terms
• Fraudulent activity
• Illegal use of the Service
• Non-payment of fees (for paid services)
• At our sole discretion

You may terminate your account at any time from Settings. Upon termination, your data will be deleted within 30 days as per NDPA requirements.

We may update these Terms at any time. Material changes will be notified via:

• Email to your registered address
• Prominent notice in the app
• Updated "Last Modified" date at the top of this page

Continued use of the Service after changes constitutes acceptance of the new Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in Nigerian courts with jurisdiction.
