Partner Program Terms

These Partner Program Terms ("Affiliate Terms") govern your participation in the Taxpally Partner Program ("Program"). By applying to or participating in the Program, you agree to be bound by these Affiliate Terms, our Terms of Service, and our Privacy Policy.
1. Program Overview
The Taxpally Partner Program allows approved participants ("Affiliates") to earn commissions by referring new customers to Taxpally. When a referred customer ("Referral") subscribes to a paid plan, the Affiliate earns a percentage of the subscription fee.

- 180-day cookie attribution window
- Simple flat-rate commission structure
- Monthly payouts with ₦15,000 minimum threshold
2. Eligibility Requirements
To participate in the Program, you must:
- Be at least 18 years of age
- Have a valid Taxpally account in good standing
- Provide accurate and complete information in your application
- Have a legitimate platform for promotion (website, social media, email list, YouTube channel, etc.)
- Comply with all applicable Nigerian laws and regulations
- Not be a current employee or contractor of Taxpally
We reserve the right to accept or reject any application at our sole discretion. Approval for the Program does not guarantee continued participation.
3. Commission Structure
3.1 Commission Rate
All affiliates earn a flat commission rate on every referral:

3.2 Lifetime Recurring Commissions
Commissions are lifetime recurring, meaning you earn your commission percentage on every subscription payment your Referral makes for as long as they remain a paying customer.
3.3 Commission Calculation
- Commissions are calculated on the net subscription amount (excluding VAT)
- The same 20% rate applies to all affiliates from day one
- Commissions are credited within 30 days of the Referral's payment to allow for refund periods
4. Tracking and Attribution
4.1 Affiliate Links
Upon approval, you will receive a unique affiliate code and tracking links. All referrals must be made through these official tracking mechanisms.
4.2 Cookie Duration
We use a 180-day cookie for attribution. If a visitor clicks your affiliate link and subscribes within 180 days, you receive credit for the referral.
4.3 Attribution Rules
- First-click attribution: The first affiliate link clicked receives credit
- Self-referrals are not permitted and will not be credited
- Referrals must be genuine new customers, not existing Taxpally users
- We reserve the right to investigate and reject fraudulent referrals
5. Payment Terms
5.1 Minimum Payout
The minimum payout threshold is ₦15,000. You may request a payout once your approved commission balance reaches this amount.
5.2 Payment Schedule
- Payouts are processed within 3-5 business days of request approval
- You may request one payout per calendar month
- Payments are made via bank transfer to your registered Nigerian bank account
5.3 Commission Approval
Commissions enter a 30-day pending period to account for potential refunds or chargebacks. After this period, commissions are approved and added to your available balance.
5.4 Taxes
You are solely responsible for reporting and paying any taxes on your affiliate earnings in accordance with Nigerian tax laws. Taxpally does not withhold taxes on affiliate payments.
6. Promotional Guidelines
6.1 Permitted Promotion Methods
- Personal websites and blogs
- Social media platforms (Twitter/X, Instagram, LinkedIn, Facebook, TikTok)
- YouTube and video content
- Email marketing to your own subscribers (with proper consent)
- Podcasts and webinars
- Online communities and forums (where permitted)
6.2 Brand Guidelines
- Use only official Taxpally logos and marketing materials provided in your dashboard
- Do not modify or alter Taxpally branding
- Clearly identify yourself as an affiliate when promoting Taxpally
- Include appropriate affiliate disclosures as required by Nigerian advertising standards
6.3 Accurate Representation
You must:
- Make only truthful and accurate claims about Taxpally
- Not guarantee specific tax savings or financial outcomes
- Clearly state that Taxpally is a record-keeping tool, not a tax filing service
- Not impersonate Taxpally staff or claim official endorsement beyond the affiliate relationship
7. Prohibited Activities
The following activities are strictly prohibited:
- Self-referrals: Referring yourself or accounts you control
- Cookie stuffing: Forcing affiliate cookies without user consent
- Paid search bidding: Bidding on "Taxpally" or related brand terms in search ads
- Spam: Unsolicited emails, messages, or comments
- Incentivized clicks: Offering rewards solely for clicking affiliate links
- Misleading claims: False statements about Taxpally features or benefits
- Trademark infringement: Using Taxpally trademarks in domain names or social handles
- Malware or deceptive practices: Using pop-ups, malware, or deceptive redirects
- Adult, illegal, or offensive content: Promoting Taxpally on inappropriate websites
- Fake reviews: Creating false testimonials or reviews
Violation of these rules will result in immediate termination and forfeiture of unpaid commissions.
8. Termination
8.1 Termination by You
You may withdraw from the Program at any time by contacting us or through your affiliate dashboard. Upon withdrawal, you will receive payment for any approved commissions above the minimum threshold.
8.2 Termination by Taxpally
We may suspend or terminate your participation at any time, with or without cause, including but not limited to:
- Violation of these Affiliate Terms
- Fraudulent or suspicious activity
- Inactivity (no referrals for 12 consecutive months)
- Damage to Taxpally's brand or reputation
- At our sole discretion with 30 days notice
8.3 Effect of Termination
- Your affiliate links will be deactivated
- You must remove all Taxpally promotional materials
- Approved commissions above ₦15,000 will be paid within 30 days
- Pending or unapproved commissions may be forfeited
- You will no longer earn commissions on future Referral payments
9. Relationship of Parties
You are an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, or agency relationship between you and Taxpally.
- You are not authorized to make commitments on behalf of Taxpally
- You are responsible for your own expenses, taxes, and insurance
- You have no authority to bind Taxpally to any contracts or obligations
- Taxpally does not provide employee benefits to affiliates
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW:
- Taxpally is not liable for any indirect, incidental, or consequential damages
- Our total liability to you shall not exceed the commissions paid to you in the last 12 months
- We do not guarantee any minimum earnings or referral volume
- We are not responsible for tracking errors caused by third-party software or browser settings
11. Program Modifications
We reserve the right to modify, suspend, or discontinue the Program or these Affiliate Terms at any time. Changes may include:
- Commission rates
- Cookie duration
- Payment terms and thresholds
- Eligibility requirements
- Promotional guidelines
Material changes will be communicated via email and/or your affiliate dashboard with at least 14 days notice. Continued participation after changes take effect constitutes acceptance.
12. Governing Law
These Affiliate Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in Nigerian courts with appropriate jurisdiction.
